Non-Disclosure Agreement

 
Please check here if you are an Entering Party (buyer) seeking our representation in acquiring a non BizAdvocate client. In this case, it is not necessary for you to complete the Non-Disclosure Agreement.
 

I for myself  ***  (name) agree to retain in confidence and to require my professional representatives, agents and/or advisors to retain in confidence any information provided to me by Networks Inc., dba BizAdvocates.com (Consultant) in respect to any business represented for sale or other purposes. Such “confidential” information might include financial statements, cost and expense data, production data, trade secrets, secret processes and formulae, plans, technology, marketing and customer data, sources of goods and materials, or the fact that the business is for sale. I agree not to use any information provided to me for competitive purposes or for the start up of a business. I also agree not to contact the Seller, Seller's employees, customers, suppliers or lenders except through Consultant.

As a customer, I understand; that all information is provided by the Seller; that I will hold Consultant harmless from any claims resulting from its use and consultant is not an agent for me but represents the Seller. I am apprised that Consultant is not NASD registered Broker/Dealer and offers no securities for sale.

I understand, unless otherwise apprised, that Consultant has a sole and exclusive right to represent agreement with the Seller. I agree to submit all communications through Consultant, i.e., requests for information, letters of intent, offers to purchase, etc. The Seller has hereby designated a third party beneficiary to this agreement.

I understand and agree that Consultant has a contract with the Seller for payment of its retainers and other fees and agree not to circumvent, interfere or do damage to that contract, and that Consultant, having a financial interest, may obtain financial information about myself or the entity I represent through standard credit reporting agencies in the future with my written consent.
